1. Acceptance of Terms
By accessing and using Little Nest's daycare management platform ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this Service.
These Terms of Service apply to all users of the Service, including but not limited to daycare centers, childcare professionals, parents, and guardians.
2. Description of Service
Little Nest provides a cloud-based daycare management platform that includes:
- Child attendance tracking
- Daily journal and activity logging
- Parent communication tools
- Medication management
- Photo sharing capabilities
- Reporting and analytics
- Mobile applications for staff and parents
We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.
3. User Accounts and Registration
3.1 Account Creation
To use our Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Types
- Daycare Administrator: Full access to manage daycare settings, staff, and children
- Staff: Access to children assigned to them for daily operations
- Parent/Guardian: View-only access to their child's information and updates
3.3 Account Security
You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to comply with this obligation.
4. Subscription and Payment Terms
4.1 Subscription Plans
Our Service is offered through various subscription plans as described on our pricing page. All fees are in Canadian dollars (CAD) unless otherwise specified.
4.2 Free Trial
We offer a 14-day free trial for new customers. No payment information is required to start your trial. At the end of the trial, you must select a paid plan to continue using the Service.
4.3 Payment and Billing
- Subscription fees are billed monthly or annually in advance
- All fees are non-refundable except as required by law
- We may change our pricing with 30 days' written notice
- Failed payments may result in suspension of your account
4.4 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to your data during this time.
5. User Responsibilities and Conduct
5.1 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Upload malicious software or harmful content
- Attempt to gain unauthorized access to our systems
- Share your account credentials with unauthorized users
5.2 Data Accuracy
You are responsible for the accuracy and completeness of all data you enter into the Service, including but not limited to child information, medical details, and daily activities.
5.3 Compliance
Daycare centers using our Service must comply with all applicable childcare regulations and licensing requirements in their jurisdiction.
6. Privacy and Data Protection
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
6.1 Data Ownership
You retain ownership of all data you input into the Service. We do not claim ownership rights to your content.
6.2 Data Security
We implement industry-standard security measures to protect your data, but cannot guarantee absolute security. You acknowledge the inherent risks in internet-based services.
7. Intellectual Property
The Service and its original content, features, and functionality are owned by Little Nest and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not:
- Copy, modify, or create derivative works of the Service
- Reverse engineer or attempt to extract source code
- Use our trademarks or branding without permission
- Resell or redistribute the Service
8. Service Availability and Support
8.1 Uptime
We strive to maintain 99.9% uptime for our Service, but cannot guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.
8.2 Support
We provide customer support via email and chat during business hours. Response times vary by subscription plan.
8.3 Updates
We regularly update the Service with new features and improvements. Major changes will be communicated to users in advance.
9. Limitation of Liability
To the maximum extent permitted by law, Little Nest shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
Our total liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
10. Indemnification
You agree to defend, indemnify, and hold harmless Little Nest from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you submit through the Service
11. Termination
11.1 Termination by You
You may terminate your account at any time by contacting us or through your account settings.
11.2 Termination by Us
We may suspend or terminate your account if you violate these Terms or for any other reason with reasonable notice.
11.3 Effect of Termination
Upon termination, you will lose access to the Service. We will retain your data for 90 days to allow for account reactivation, after which it will be permanently deleted.
12. Governing Law and Disputes
These Terms are governed by the laws of Newfoundland and Labrador, Canada, without regard to conflict of law principles.
Any disputes arising from these Terms or the Service will be resolved through binding arbitration in St. John's, Newfoundland and Labrador, except where prohibited by law.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes:
- By email to registered users
- Through notifications in the Service
- By posting updates on our website
Your continued use of the Service after changes constitutes acceptance of the new Terms.
